A founder may hold only one suite in their lifetime; no parallel or repeat covenants under different entities.
Suites are reserved for eco‑founders rooted in green, circular living and long‑term stewardship, not extractive growth.
Every engagement is treated as a cosmic covenant: a sacred agreement to design future reality, not a casual service contract.
If a nation‑suite pairing is sealed (any suite, any tier), no other suite can be issued for that nation or that founder, preserving rarity and lineage.
Entry depends on ethical resonance, transparency, and readiness to live by the Brand Constitution, not on capital alone.

2 - Services and Milestones
Delivery occurs in three phases: MANIFEST (intent clarification), CREATION (assets), BALANCE (refinement).
Payments: 30% on phase approval (e-signature), 40% on delivery, 30% on completion. Pro-rata refunds for non-delivery within 14 days per phase.
14-day cooling-off: Full refund request post-initial payment, no questions asked.
3 - Exclusivity Covenant
One nation, one founder lifetime: Voluntary opt-in for aligned eco-sovereigns. Client affirms mutual B2B intent; no compulsion.
Global registry tracks assignments. Breaches (e.g., parallel services) allow termination, not forfeiture.
4 - Termination and Liability
Termination: For non-payment (>30 days) or material breach. Retain fair value of completed work; no penalties.
Mutual liability cap: Fees paid. No indirect damages. Force majeure excused.
IP: Client owns deliverables post-final payment; ThothLoki retains portfolio rights with pseudonymity.
5 - General Compliance

2 - Breach Triggers
Client Breaches: Non-payment >30 days post-invoice; confidentiality violation; Brand Sovereignty covenant violation (parallel engagements); material misrepresentation in eligibility.
ThothLoki Breaches: Failure to deliver phase milestones per agreed timeline (>15 days without client delay); IP infringement warranty breach.
Objective Standards: All breaches defined with measurable criteria (dates, deliverables, disclosures); no subjective "karmic misalignment" judgments.
3 - Consequences of Breach
Material Breach: Immediate termination rights; non-breaching party retains completed deliverables' fair market value (independent valuation if disputed).
No Forfeiture: Full upfront payments not subject to blanket forfeiture; pro-rata refunds mandatory for undelivered work.
IP Handling: Pre-final payment, ThothLoki retains ownership of all phases; post-assignment, irrevocable transfer survives termination.
4 - Post-Termination Obligations
Surviving Clauses: Confidentiality (5 years), IP ownership, non-disparagement, governing law, and liability caps remain enforceable indefinitely.
Data Return/Deletion: Client data returned/deleted within 30 days per DPDP Act 2023; audit trail provided.
Dispute Resolution: Breach claims first to grievance officer (info@thothloki.com, 48-hour response), then Kerala courts or arbitration per agreement.
5 - Remedies
Damages: Limited to direct losses; no consequential/indirect damages. Liquidated damages clause for payment delays (1.5% monthly, non-compound).
Equitable Relief: Injunctions available for confidentiality/IP breaches without proving irreparable harm.
Records: All termination events documented; retained 7 years per Companies Act 2013.

Pre-Initiation: Full refund minus 5% processing fee if canceled in writing within 48 hours of initial payment, prior to retainer confirmation or any ideation commencement (per Section 2.3).
Example: Client pays ₹69,069 retainer for Atman Suite on Day 1, emails cancellation on Day 2 before kickoff call—receives ₹65,615.55 (95%) back within 7 days.
Post-Initiation Convenience: Client may request refund for undelivered phases only, post-milestone approval; calculated pro-rata per Section 2 payment schedule, minus 15% admin fee capped at fair market value of completed work.
Example: After 30% retainer and ideation phase approval (completed), client terminates before Campaign phase—pro-rata refund of remaining 70% (₹48,348) minus 15% (₹7,252) yields ₹41,096 within 7 days.
ThothLoki-Initiated: Full refund of fees paid within 7 days if termination due to force majeure (Section 13.1) or material breach by ThothLoki (Section 10.2).
Example: Force majeure delays Empire phase >15 days; ThothLoki terminates—full ₹96,369 refunded to client within 7 days, no fees retained.
Exclusions: No refunds for delivered digital assets (e.g., brand guidelines, emblems per Section 4.2), client breaches, late payments, or subjective dissatisfaction; no business success guarantees (Section 11.2).
Example: Client receives logo files and later dislikes style—no refund, as assets delivered irrevocably per IP terms.
2 - Refund Process
Submit written request via support@thothloki.com with invoice details, phase completion proof, and reason. Grievance officer (info@thothloki.com) acknowledges within 48 hours; refunds issued via original payment method within 7 days of approval.
Example: Client emails request with Invoice #TL-2026-001 on Monday; officer replies Tuesday confirming 40% completion; ₹25,000 processed to UPI by next Monday.
Pro-rata computation: Undelivered portion × fees paid, less applicable fees (5% pre-work / 15% post). Disputes follow Section 10.4 resolution path.
Example: Immortal Suite 50% complete (₹48,184.50 value retained); 50% undelivered (₹48,184.50) minus 15% (₹7,227.68) = ₹40,956.82 refunded.
3 - Governing Framework
